CODE OF CONDUCT

Accurate Books and Records:

The Company will maintain accurate accounts and records, which reflect the true and fair picture of the company’s affairs in compliance with accepted accounting principles and standards for financial reporting.

Bribery and Corruption:

The Company takes zero-tolerance approach to bribery and corruption and is committed to acting professionally, fairly and with integrity in all our business dealings and relationships, wherever we operate, and to implementing and enforcing effective systems to counter bribery. This policy does not prohibit normal, appropriate, and bona-fide corporate hospitality (given and received) to or from third parties if its purpose is to improve our company image, present our products and services, Public Relations, advertising, establishing cordial relations. Gifts can occasionally be offered to celebrate special occasions (for example religious holidays, new-year etc.) and these are occasional, appropriate and in-fitting with local business practices.

WHISTLE BLOWING:

No unfair treatment will be meted out to a Whistle Blower by virtue of his/her having reported a Disclosure (i.e concern raised by a written communication made in good faith that discloses or demonstrates information that may evidence unethical or improper activity) under this Policy. The identity of the Whistle Blower shall be kept confidential. The matter will be investigated by the Audit Committee representatives and a written report of the findings would be made for necessary action.

Fair and Equitable Treatment:

The Company will offer fair and equitable treatment to all employees. Health and Safety : The Company shall provide a safe, clean and healthy work environment.

Quality of Goods and Services:

The Company shall strive to ensure that its products and services meet the generally accepted safety and quality standards.

Environment and Society:

The Company shall strive to be a good corporate citizen and contribute to CSR activities by promoting education, health, road safety, support women, elderly, differently-abled children, abandoned senior citizens, deprived, mentally disabled, bed-ridden, disease infected patients, armed forces, war widows, dependents and their rehabilitation, sustainability including minimizing the adverse impact of company operations on the environment.
